Terms of Sale
Last updated: 4 November 2026
1. Who we are and who these terms apply to
These terms govern quotations, orders and supplies of goods by Yiwu Haizhongsen Supply Chain Management Co., Ltd. (“EWOOD”, “we”, “us”) through ewood.store.
We supply business customers only — independent retailers, distributors and other trade buyers acting in the course of business. By requesting a quotation you confirm that you are acting in the course of business and not as a consumer. Nothing in these terms limits rights that cannot be excluded under mandatory law.
2. How an order is formed
- You send an enquiry through the RFQ form or by email.
- We reply with a written quotation. A quotation is valid for 15 days.
- You confirm acceptance in writing (email is enough).
- We issue a proforma invoice (PI) with the final quantities, prices, payment terms and delivery details.
- We dispatch after the payment conditions in section 4 are met.
A contract is formed when we issue the PI following your written acceptance. We may decline an order where goods are unavailable, where a credit check fails, or where we cannot lawfully supply the destination.
3. Prices, boxes and discounts
Prices are quoted in euro (EUR) and are stated in your quotation. Prices exclude import VAT and customs duties, which are the buyer’s responsibility (section 5). Box prices and contents are shown on our catalogue page; the binding figures are those in your quotation.
- First order: one box minimum.
- Private label: 300–500 pieces per SKU.
- Quantity and account discounts may apply. Discounts are not cumulative: the better of the quantity tier and the account tier applies, capped at 5%.
- If the EUR exchange rate moves by more than ±3%, or ocean freight by more than ±20%, between quotation and order confirmation, we may re-issue the quotation at adjusted prices.
4. Payment
Payment is by bank transfer (T/T) in euro, unless we agree otherwise in writing.
- First order: 100% in advance, or 50% deposit with the balance before dispatch.
- Repeat orders: 30 days net, subject to credit approval.
- Key accounts: up to 60 days net with credit insurance.
Bank details are stated on the proforma invoice. We do not accept payment to any account that is not named on the PI — please verify bank details with us before paying. If an invoice is overdue, we may suspend further deliveries and charge default interest at the rate permitted by applicable law.
5. Delivery, import and risk
Direct shipments from China are made on the terms stated in your quotation. Unless your quotation states otherwise, shipments are made on DAP terms (Incoterms 2020) to the place named in the quotation.
- DAP shipments: the buyer is the importer of record and is responsible for import clearance, import VAT and customs duties. Our invoice excludes import VAT and customs duties.
- FCA shipments (only where your quotation states this term): the buyer arranges the main carriage and import clearance. Delivery is complete when the goods are handed to the carrier nominated by the buyer at the agreed place in China, and we handle export clearance in China. Our invoice excludes freight, import VAT and customs duties.
- Delivered shipments (double-clearance, small orders, only where your quotation states this term): our freight partner clears import and pays customs duties and import VAT; those costs are included in the price. The buyer does not receive a separate EU VAT invoice for import VAT and cannot claim it as input VAT.
- Transit times are estimates from dispatch: 7–15 days by air, 35–45 days by sea. They are not guaranteed delivery dates.
- We may make partial deliveries where this is agreed.
- Risk passes in accordance with the applicable term: under DAP at the named delivery place; under the delivered service, as stated in the quotation.
- Invoices and VAT: where we act as the importer or supply goods from within the EU, we issue an invoice showing EU VAT as required. For DAP shipments our invoice excludes import VAT and customs duties; the buyer receives the import VAT documents from the customs authority in its own name.
6. Inspection, quality and claims
- Goods are inspected before dispatch using AQL 2.5; key items are fully inspected on the first order.
- Quality claims must be made within 14 days of delivery, with the PI or order number, the batch number, photos (or video) and the quantity affected. Write to sales@ewood.store.
- We will replace the affected goods or issue a credit note. Our liability for a claim is limited to the value of the affected goods.
- Where we describe a product as lead-free, that statement is supported by a SKU-level material declaration or test report. We do not use the term for products without that support.
- Slight variations in colour, shade and finish between production batches are inherent in the materials and are not defects where the material and dimensions match the agreed specification.
7. Returns
Non-quality returns are accepted up to 5% of the order value, subject to the conditions on our Returns page.
8. Compliance, product safety and use of the goods
We supply goods for sale in the European Union and take our product-safety obligations seriously:
- For DAP shipments, the buyer is the importer of record and acts as the responsible person for that shipment under Regulation (EU) 2023/988 (GPSR). For delivered (double-clearance) shipments, our freight partner clears import and is the importer for that shipment; our product-level responsible person is named on the product and packaging. In both cases we provide the technical documentation, material declarations and batch records needed for that role.
- Where the buyer’s name and address must appear on the label as importer, the buyer provides those details in good time before dispatch.
- Slingshot products are supplied strictly as replacement bands for slingshot/catapult use — not as complete slingshots and not as wrist-braced or arm-braced models.
- Archery products are supplied as vanes and shafts only. We do not supply broadheads, crossbows, crossbow bolts or finished arrows.
- Product text and resale materials must not describe these goods as hunting, weapon or self-defence products, and must not describe a product as lead-free unless the SKU-level declaration supports it.
- The buyer is responsible for its own market-specific obligations when reselling, including labelling and packaging duties that apply to it as importer or distributor.
9. Title
Title to the goods passes to the buyer when we receive payment in full, or on delivery if later, to the extent permitted by applicable law.
10. White label and intellectual property
We sell white label. Stock boxes carry our trade brand; private-label orders carry the buyer’s brand after approval of the artwork. The buyer warrants that it holds the rights to any logo or artwork it supplies. We keep all rights in our catalogue, product photography and technical documentation. Recommended retail prices are guidance only — we do not impose or enforce resale prices.
11. Liability
We are liable for direct loss caused by our breach of contract or negligence, up to the value of the goods in the affected order. We are not liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law.
12. Force majeure
We are not liable for delay or non-performance caused by events beyond our reasonable control, including natural events, epidemics, war, sanctions, strikes, transport disruption, port congestion, changes in law or customs action. We will tell you promptly and work with you on a revised schedule.
13. Suspension and termination
We may suspend or terminate a contract if the buyer fails to pay, becomes insolvent, or breaches these terms, and we may recover goods that remain unpaid. Where a contract is terminated, the buyer pays for goods already supplied and for costs reasonably incurred.
14. Governing law and disputes
These terms are governed by the laws of the People’s Republic of China. The courts of Yiwu, Zhejiang Province have jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Before starting proceedings, we ask both sides to raise the issue in writing and allow 30 days for an amicable resolution.
15. General
If any provision is found unenforceable, the remaining provisions stay in force. A failure to enforce a provision is not a waiver. These terms, together with the quotation and PI, form the entire agreement between us. We may update these terms; the version that applies to your order is the one in force when the contract is formed. The English version prevails over any translation.
